A proprietorship is the lightest option and suits a solo operator testing an idea. An LLP gives partners limited liability without the full weight of company compliance. A private limited company carries the most compliance, but it is the only structure that can issue shares — so if you intend to raise capital or bring in co-founders formally, it is usually the right answer.

Good to know

  • A proprietorship has no separate legal identity — the owner is personally liable for business debts.
  • A private limited company needs at least two directors and two shareholders; an LLP needs at least two designated partners.
  • Companies and LLPs carry mandatory annual filings with the MCA even in a year with no business activity.
  • A company must file its commencement of business declaration before it can legally begin operations.
